    Enclosed you will find all of the forms and materials that you will need to establish your business as a Limited Liability Company. Follow the instructions carefully and familiarize yourself with the Operating Agreement so that you will be able to stay in compliance with the law as you run your business.

    This kit and the Operating Agreement are drafted to create what is referred to in the industry as a "bulletproof limited liability company." It conforms with state and federal laws so that the limited liability company will receive the beneficial tax treatment of a partnership and avoid the potential "double taxation" of a corporation while, at the same time, extending corporate liability protection to its members."

  • II. RESERVE YOUR COMPANY NAME.
    A. As with corporations, the State and you do not want any confusion or legal problems by having a company name too similar to another company's name. Therefore, before you go through the time and trouble of choosing a name that will not be accepted, you can reserve a name ahead of time. Call the Secretary of State and ask the clerk to check whether or not the business name you have chosen is available. If it is, you can reserve the name for sixty (60) days by sending a letter containing the name to be reserved and the requisite $10.00 filing fee.


    B. Fill out the LLC-1 line by line as instructed below.

    Line 1: Enter the name of the limited liability company. The name must end with "LLC (no periods) or "Limited Liability Company."

     

    Warning ! All documents connected with the business must now indicate that the company is an LLC. Checking accounts, letterhead, business cards etc. are included so that anyone doing business with the company will know that they are dealing with an LLC.
